SAES Getters S.p.A. share capital consists of 14,671,350 Ordinary Shares and 7,378,619 Savings Shares. The nominal value of the Company's stock is equal to Euro 12,220,000, consisting of a total of 22,049,969 Shares. The implied book value is 0.5542 euro per each share. The share capital structure changed because of the voluntary conversion of savings shares into ordinary shares ended on January 14, 2005 and following the cancellation on May 26, 2010 of no. 600,000 ordinary shares and no. 82,000 savings shares held by the Company as treasury shares.
The Ordinary Shares and the Savings Shares have been listed and traded on the Mercato Telematico Azionario ("MTA") of the Borsa Italiana since 1994 and 1995, respectively. From 1986 until 2000, the Preference Shares had been traded on the same Stock Market. In 2000 Preference Shares were exchanged into Ordinary Shares at an exchange rate ratio of one Ordinary Share for one Preference Share.
In May 1996 SAES Getters became the first Italian Company to be listed on the Nasdaq Stock Market. In May 2003 the Company approved a plan to de-list the American Depositary Receipts (ADRs) listed on the Nasdaq, terminate its depositary agreement related to the ADRs, deregister such shares and cease filing periodic reports with the Securities and Exchange Commission.
Starting April 2, 2001 the Company joined the new segment of the Mercato Telematico Azionario of the Borsa Italiana, called STAR (Segmento Titoli con Alti Requisiti), the Italian acronym for Stock Market Segment with High Requirements. The new market segment is reserved for small and medium capitalization companies operating successfully in the traditional sectors of the economy and meeting stricter and more specific requirements with respect to transparency, liquidity and corporate governance.
